By accessing, using, or integrating with the vector database platform and related services provided by Endee Labs Pvt Ltd ("Endee", "Company", "we", "our", "us"), you ("Customer", "you", "your") accept and agree to be bound by these Terms of Use ("Terms"). These Terms constitute a legally binding agreement between you and Endee Labs Pvt Ltd. If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you must not access or use our services. Your continued use of our services constitutes ongoing acceptance of these Terms and any modifications thereto.
Endee Labs Pvt Ltd provides a high-performance vector database platform designed for similarity search, vector embeddings storage, and related database operations. Our services include:
We reserve the right to modify, enhance, suspend, or discontinue any aspect of our services at any time. We will provide reasonable notice for material changes that adversely affect your use of the platform. Scheduled maintenance windows will be communicated in advance when possible.

You must be at least 18 years old and have the legal capacity to enter into binding contracts. Accounts registered by automated means or on behalf of others without proper authorization are prohibited.
You may use our vector database services for lawful business purposes, including but not limited to semantic search, recommendation systems, image similarity, anomaly detection, and natural language processing applications.

You retain all ownership rights to the vector embeddings, metadata, and associated content you upload to our platform ("Your Data"). You are solely responsible for the accuracy, quality, and legality of Your Data, and for obtaining all necessary rights and consents to upload and process Your Data through our services.
By uploading Your Data to our platform, you grant us a limited, non-exclusive, worldwide license to store, process, index, and transmit Your Data solely for the purpose of providing our vector database services to you. This license includes the right to make technical modifications necessary for performance optimization, such as quantization and compression.

You may delete Your Data at any time through our API or dashboard. Upon deletion, we will remove Your Data from our active systems within 30 days, except for data retained in backups which will be deleted in accordance with our data retention policies. Some metadata may be retained for billing and audit purposes as required by law.
While we advertise high-performance metrics (QPS, latency, recall), actual performance depends on factors including query complexity, data volume, indexing configuration, and network conditions. Performance metrics are provided as indicative targets, not guarantees, unless specified in a separate Service Level Agreement.
We strive to maintain high availability but do not guarantee uninterrupted, timely, secure, or error-free service. We reserve the right to perform maintenance that may temporarily interrupt service availability. We will provide advance notice for planned maintenance when commercially reasonable.
Your account may be subject to usage limits based on your subscription plan, including limits on queries per second, storage capacity, and API calls. Exceeding these limits may result in throttling, additional charges, or service suspension.
All aspects of our vector database platform, including but not limited to the Vector Graph Engine (VGE), software, algorithms, API, dashboard, documentation, logos, trademarks, and related materials, are the exclusive property of Endee Labs Pvt Ltd or its licensors. These Terms do not grant you any ownership rights to our intellectual property.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our services solely for your internal business purposes. This license automatically terminates upon termination of your account or violation of these Terms.

If you provide feedback, suggestions, or ideas about our services, we may use them without any obligation to compensate you. You grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback into our services.

We may change our pricing with 30 days advance notice. Price changes will apply to your next billing cycle. If you do not agree to the price change, you may cancel your subscription before the new price takes effect.
You are responsible for all applicable taxes (including VAT, GST, sales tax) associated with your purchase, except for taxes based on our net income. If we are required to collect taxes, they will be added to your invoice.
All fees are non-refundable except as required by law or as explicitly stated in your subscription agreement. We do not provide refunds or credits for partial months of service or unused capacity.
If payment is not received by the due date, we reserve the right to suspend or terminate your access to our services. Late payments may incur interest charges at the maximum rate permitted by law.
We provide API access for programmatic interaction with our vector database. You must comply with our API documentation and best practices. We may impose rate limits and throttling to ensure service stability.
API keys are confidential credentials. You must not share, expose, or hardcode API keys in publicly accessible code repositories. We may revoke or rotate API keys that have been compromised.
We may modify or deprecate API endpoints with reasonable notice. We will maintain backward compatibility for a reasonable transition period when making breaking changes to stable API versions.
Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You must comply with all applicable data protection and privacy laws when using our services to process personal data. If you are subject to GDPR, CCPA, or similar regulations, you are responsible for ensuring your use of our services complies with those regulations.
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
Our services may integrate with or depend on third-party services. We make no warranties regarding third-party services and are not responsible for their availability, accuracy, or performance.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

You agree to indemnify, defend, and hold harmless Endee Labs Pvt Ltd, its affiliates, and their respective officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
You may terminate your account at any time through the dashboard or by contacting support. Termination does not relieve you of any payment obligations for services already rendered or fees already incurred.
We may suspend or terminate your access to our services immediately, without prior notice or liability, for any reason including but not limited to:
Upon termination, your right to use our services immediately ceases. You must cease all use of our API and platform. We will delete Your Data in accordance with our data retention policies unless legally required to retain it. Provisions that by their nature should survive termination (including payment obligations, intellectual property rights, disclaimers, and limitations of liability) will continue to apply.
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.
Any disputes arising from these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts located in the jurisdiction where Endee Labs Pvt Ltd is registered. You consent to the personal jurisdiction of such courts.
Before filing any formal claim, you agree to attempt to resolve the dispute informally by contacting us at contact@endee.io. We will attempt to resolve the dispute informally within 60 days.
You agree to comply with all applicable export and import laws and regulations. You represent that you are not located in, under the control of, or a national or resident of any country subject to export restrictions or economic sanctions. You will not use our services in violation of any export laws or regulations.
These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and Endee Labs Pvt Ltd regarding the use of our services and supersede all prior agreements and understandings.
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue to be valid and enforceable to the fullest extent permitted by law.
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. Any waiver must be in writing and signed by our authorized representative.
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign or transfer these Terms without restriction. Any attempted assignment in violation of this provision is void.
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, natural disasters, pandemics, or failure of third-party services.
We may provide notices to you via email to the address associated with your account or through our dashboard. Notices are deemed given when sent. You may provide notices to us at contact@endee.io.
We reserve the right to modify these Terms at any time to reflect changes in our services, legal requirements, or business operations. Material changes will be notified via email or through prominent notice on our platform at least 30 days before taking effect. The "Last updated" date at the top indicates the latest revision. Your continued use of our services after the effective date of changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue use of our services.
